Terms of Service — Circuit Sherpa

1. Agreement

By accessing or using Circuit Sherpa ("Service") at circuitsherpa.com, you agree to these Terms of Service. Circuit Sherpa is operated by Heron Networks LLC ("Company", "we", "us"). If you do not agree, do not use the Service.

2. Service description

Circuit Sherpa is an electronic component search and BOM (Bill of Materials) pricing tool. We aggregate pricing data from third-party distributors including DigiKey, Mouser, Arrow, and others. We do not sell components directly and are not affiliated with any distributor.

3. Plans and limits

Free plan: 10 searches per day. Single part lookup only. No BOM upload, no price alerts, no history.
Pro plan ($29/month): Unlimited searches, BOM upload (CSV, up to 500 parts), 90-day BOM history, saved searches, up to 20 active price alerts, CSV export.
Team plan ($99/month): Everything in Pro, 5 team seats, REST API access, shared BOM library, priority support.

We reserve the right to modify plan features and pricing with 30 days' notice to active subscribers.

4. Pricing data accuracy

Pricing and stock data is retrieved from distributor APIs in real time or from a short-lived cache. We make no warranty that pricing data is accurate, complete, or current. Distributor prices and stock levels change frequently. Always verify pricing directly with the distributor before placing orders. We are not liable for any procurement decisions made based on data from Circuit Sherpa.

5. Prohibited uses

You may not:

Scrape, crawl, or automatically extract data from Circuit Sherpa beyond normal use
Use the Service to build a competing product that aggregates the same distributor data
Attempt to circumvent rate limits or access controls
Use the Service for any unlawful purpose
Share account credentials with others (Team plan seats must each have their own login)
Resell or sublicense access to the Service

6. Payment and cancellation

Paid plans are billed monthly via Stripe. Subscriptions renew automatically. You may cancel at any time through your account settings; access continues until the end of the current billing period. No refunds are issued for partial months.

7. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time by emailing [email protected].

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

IN NO EVENT SHALL HERON NETWORKS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

10. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.
